1. Introduction
The following terms (the “Ads Agreement” or “Agreement”) govern your use of BMEXTERN’s online advertising platform (the “Advertising Platform”) and associated ad services (the “Ad Services”). These services allow your advertisements to be displayed on BMEXTERN properties and approved third-party networks, including partner websites and mobile applications. By accessing or using the Advertising Platform and Ad Services, you acknowledge and agree to be bound by this Agreement.
2. Eligibility and Account Registration
To use the Ad Services, you must create an account and provide accurate and complete information. You represent that you have the authority to enter into this Agreement on behalf of yourself or the entity you represent. If you are using the Ad Services on behalf of another business, you must have permission to act on their behalf.
3. Fees, Billing, and Payments
3.1 Payment Obligation: By using the Ad Services, you agree to pay all applicable fees as determined by our pricing model. Fees are based on factors such as ad impressions, clicks, or other agreed-upon metrics.
3.2 Billing and Charges: Charges are calculated based on real-time data and may be subject to adjustments. Payment methods may include credit cards, bank transfers, or other approved payment systems. BMEXTERN reserves the right to change billing methods upon notice.
3.3 Dispute Resolution: If you believe there is an error in billing, you must notify us within 30 days of the charge. Failure to do so waives your right to dispute the charge.
4. Ad Content and Compliance
4.1 Ad Guidelines: All advertisements must comply with BMEXTERN’s advertising policies, which prohibit misleading, offensive, or illegal content. BMEXTERN reserves the right to reject, remove, or modify any ads at its sole discretion.
4.2 Compliance with Laws: Advertisers are responsible for ensuring their ads comply with all applicable laws, regulations, and industry standards.
4.3 Prohibited Content: Ads must not contain harmful, deceptive, or fraudulent content, including but not limited to:
- Misleading claims
- Inappropriate or offensive material
- Malware, spyware, or unauthorized data collection
5. Performance and Delivery
5.1 No Guarantees: BMEXTERN does not guarantee any specific results, including impressions, clicks, or conversions. Performance metrics depend on multiple factors, including market conditions and audience behavior.
5.2 Service Modifications: BMEXTERN reserves the right to modify, suspend, or discontinue any aspect of the Ad Services at any time without liability.
6. Data Usage and Privacy
6.1 Advertiser Data: By using the Ad Services, you grant BMEXTERN the right to use your data to improve services, provide analytics, and optimize ad performance.
6.2 Privacy Compliance: You must comply with all applicable data protection and privacy laws when collecting, using, or processing personal data through advertisements.
7. Termination and Suspension
BMEXTERN may terminate or suspend your access to the Ad Services if you violate this Agreement or fail to meet your payment obligations. You may also terminate your use of the Ad Services at any time, but you remain responsible for outstanding fees.
8. Limitation of Liability
To the maximum extent permitted by law, BMEXTERN shall not be liable for any indirect, incidental, or consequential damages arising from the use of the Ad Services. Our total liability shall not exceed the amount paid by you in the three months preceding the claim.
9. Indemnification
You agree to indemnify and hold BMEXTERN harmless from any claims, damages, or liabilities arising from your use of the Ad Services, including violations of laws, third-party rights, or this Agreement.
10. Amendments
BMEXTERN may update this Agreement from time to time. Continued use of the Ad Services after an update constitutes acceptance of the revised terms.
11. Governing Law
This Agreement is governed by the laws of the jurisdiction where BMEXTERN operates, without regard to its conflict of law principles.
